βTo provide these and other features, Dropbox accesses, stores, and scans Your Stuff. You give us permission to do those things, and this permission extends to our affiliates and trusted third parties we work with.β
Auto-updating software & reverse engineering ban
πOtherπ¬ The Dropbox app can update itself automatically without asking you, and you are barred from reverse engineering it. This is standard practice.
βSome of our Services allow you to download client software (βSoftwareβ) which may update automatically.β
Confidentiality obligation for beta features
πOtherπ¬ If you use experimental/beta features, you must keep them secret until launch, and they may be less reliable than normal services.
βBeta Services are confidential until official launch. If you use any Beta Services, you agree not to disclose any information about those Services to anyone else without our permission.β
Free features can be removed without notice
πCan change terms anytimeπ¬ Any free feature you come to rely on can be taken away at any time with no warning.
βHowever, these free features may be withdrawn without further notice.β
Feedback used freely with no compensation
πClaims your contentπ¬ Any suggestions or feedback you give Dropbox can be used freely and you get nothing in return.

Automatic renewal billing
πAuto-renewsπ¬ Your paid subscription auto-renews and you keep getting charged until you actively cancel. Annual plans get a reminder email, but monthly plans may not.
βWeβll automatically bill you from the date you convert to a Paid Account and on each periodic renewal until cancellation.β
Refunds only if legally required
πOtherπ¬ Outside of legally mandated cases (like the EU 14-day window), you generally will not get a refund even if you cancel mid-cycle.
βRefunds are only issued if required by law.β
Price changes on renewal
πCan change terms anytimeπ¬ Dropbox can raise your renewal price, but must give you at least 30 days' notice and a chance to cancel first.
βWe may change the fees in effect on renewal of your subscription... Weβll give you no less than 30 daysβ advance notice of these changes... and youβll have the opportunity to cancel your subscription before the new fee comes into effect.β
Admin control over your account
βAccount terminationπ¬ If you are part of a team account, your organization's admins can read, delete, or lock your files and cut off your access, and may prevent you from later separating your account.
βYour administrators may be able to access, disclose, restrict, or remove information in or from your Dropbox Team account. They may also be able to restrict or terminate your access to a Dropbox Team account.β
Termination without notice or export in some cases
βAccount terminationπ¬ In certain cases Dropbox can suspend or terminate your account without warning and without letting you retrieve your files first β meaning you could permanently lose access to your data.
βWe wonβt provide notice or an opportunity to export Your Stuff before termination or suspension of access to the Services where Dropbox reasonably believes: youβre in material breach of these Terms... Once we suspend or terminate your access to the Services, you will not be able to access or export Your Stuff.β
Inactivity termination
βAccount terminationπ¬ Free accounts that go unused for 12 months in a row can be terminated.
βyou donβt have a Paid Account and haven't accessed our Services for 12 consecutive months.β
No refund on termination
πOtherπ¬ If your account is suspended or terminated, you generally will not be refunded any prepaid amounts.
βDropbox does not provide refunds if we suspend or terminate your access to the Services, unless required by law.β
No warranties

Liability capped at $20 or amount paid
π‘οΈLimits their liabilityπ¬ No matter how much harm Dropbox causes you, the most it will pay is $20 or what you paid for your current plan β whichever is bigger. This severely limits your ability to recover damages.

No liability for lost data or profits

Mandatory binding arbitration (US)

βYou and Dropbox agree to resolve any claims relating to or arising out of these Terms or the Services through final and binding individual arbitration by a single arbitratorβ
No class actions
π«No class actionπ¬ You give up the right to join a class action lawsuit; you can only pursue claims individually, which makes small-value claims impractical to fight.
βYou may only resolve disputes with us on an individual basis, and may not bring a claim as a plaintiff or a class member in a class, consolidated, or representative action.β
30-day arbitration opt-out
βοΈForced arbitrationπ¬ You can escape mandatory arbitration, but only if you submit an opt-out form within 30 days of signing up.

California law and San Francisco courts
πJurisdictionπ¬ Disputes are governed by California law and heard in San Francisco courts, which could be inconvenient/costly for users far away (EU/local consumer protections still apply where required).
βThese Terms will be governed by California law except for its conflicts of laws principles.β
Dropbox can assign, you cannot
πOtherπ¬ Dropbox can transfer this agreement to another company (e.g., in a sale), but you cannot transfer your rights.
βYou may not assign any of your rights under these Terms, and any such attempt will be void. Dropbox may assign its rights to any of its affiliates or subsidiaries, or to any successor in interestβ
Terms can be changed unilaterally
πCan change terms anytimeπ¬ Dropbox can change these Terms; you'll get at least 30 days' notice if it affects your rights, but simply continuing to use the service counts as accepting the new terms.
βBy continuing to use or access the Services after the updates come into effect, you agree to be bound by the revised Terms.β
Note: Users can export their content and stop using the service anytime. US users can opt out of arbitration within 30 days. EU users have statutory refund and cancellation rights. Data deletion rights are governed by the separate Privacy Policy, not these Terms.
